1. Definitions

1.1 “Pakks”, “we”, “our”, or “us” means The Pakks Co Pty Ltd (ABN [insert]).

 

1.2 “Stockist”, “you”, or “your” means the business purchasing goods for resale.


1.3 “Goods” means Pakks-branded products supplied under this agreement.

2. Orders

2.1 Orders must be submitted through the Pakks wholesale portal or by email to wholesale@pakks.co.


2.2 All orders are subject to Pakks’ acceptance. We may decline or amend any order before shipment.


2.3 Minimum opening order: 12 units (any mix). Reorders: 6 units minimum.

3. Prices

3.1 Prices are quoted in AUD unless stated otherwise.


3.2 Standard wholesale pricing is 50 % off the current RRP ($32 per deck at RRP $64).


3.3 Prices may change at our discretion with at least 7 days notice to wholesalers in good faith.


3.4 RRP is $64 per deck unless Pakks communicates a different price in writing.

4. Payment Terms

4.1 First-time orders require full payment before dispatch.


4.2 Approved repeat stockists may receive Net 15 or Net 30 terms, to be approved in advance.


4.3 Late payments attract 2 % interest per month on the overdue balance.


4.4 Title to goods transfers only after full payment.

5. Shipping and Delivery

5.1 All orders ship DDP (Delivered Duty Paid) from our warehouse in Dongguan, China.


5.2 Pakks manages all freight, import duties, and customs clearance on behalf of the stockist.


5.3 The cost of shipping, import, and customs fees is a flat rate of $100 and added to the invoice at checkout.


5.4 Typical lead time is 10–14 business days from payment confirmation.


5.5 Orders are shipped via DHL, UPS, or an equivalent tracked express service.


5.6 Risk transfers to the stockist upon delivery to the nominated address.


5.7 Delivery times are estimates only. Pakks is not liable for delays caused by carriers, customs, or events beyond its control.

6. GST and Tax

6.1 Australian orders include 10 % GST.


6.2 Export orders (shipped outside Australia) are GST-free.

7. Returns and Claims

7.1 All sales are final. Returns are accepted only for damaged or defective goods.


7.2 Claims must be lodged within 7 days of delivery with supporting photos.


7.3 Approved replacements or credits will be issued at Pakks’ discretion.


7.4 Risk in transit passes to the buyer once goods leave our warehouse, unless DDP applies.

8. Product Presentation and Branding

8.1 Goods must be sold in original Pakks packaging. No rebranding, bundling, or alteration is permitted without written approval.


8.2 Stockists must maintain the recommended retail price (RRP $64) and must not publicly advertise below RRP without prior written consent.


8.3 Pakks may revoke wholesale privileges for repeated brand or pricing breaches.

9. Marketing Assets

9.1 Pakks grants a non-exclusive, revocable licence to use official images and copy for promoting Pakks products only.


9.2 Assets may not be edited, filtered, or altered to change product representation.

10. Intellectual Property

All trademarks, product names, designs, packaging, and content remain the exclusive property of The Pakks Co Pty Ltd. No ownership rights transfer through sale.

11. Cancellations and Pre-Orders

11.1 Confirmed and paid orders cannot be cancelled.


11.2 Pre-orders require a 50 % non-refundable deposit; balance due before dispatch.

12. Liability

12.1 Pakks’ liability is limited to replacement of faulty goods or refund of the invoiced amount.


12.2 Pakks is not liable for indirect or consequential loss, including lost profits or business interruption.

13. Confidentiality

13.1 Wholesale pricing, discounts, and terms are confidential.


13.2 Stockists must not disclose or publish these details to third parties.

14. Governing Law

These terms are governed by the laws of New South Wales, Australia. Both parties submit to the jurisdiction of NSW courts.

15. Force Majeure

Pakks is not liable for delays or failure to perform due to causes beyond reasonable control, including natural disasters, transport disruptions, or regulatory changes.

16. Acceptance

By submitting a wholesale order, you confirm that you have read, understood, and agreed to these terms in full.
